1. Scope and Acceptance

These Website Terms and Conditions ("Terms") govern your access to and use of normalcomputing.com and any pages operated by Normal that link to these Terms (collectively, the "Site").

These Terms are a legally binding agreement between you and Normal Computing Corporation ("Normal," "we," "our," or "us"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not access or use the Site.

If you access or use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" includes both you and the organization.

The Site is not directed to children under 16. If you are not old enough to enter into a binding agreement under the law where you live, you may use the Site only with the involvement of a parent or legal guardian.

2. Informational Site and Separate Agreements

The Site provides general information about Normal, our research, technology, products, services, and employment opportunities. Site content is not an offer, promise, guarantee, or binding commitment.

These Terms do not govern any product, service, evaluation, pilot, beta program, pre-order, customer engagement, employment opportunity, or other relationship that is subject to a separate agreement, order form, notice, or set of terms. If these Terms conflict with a separate written agreement between you and Normal, the separate agreement controls with respect to its subject matter.

Submitting a form, requesting information, joining a mailing list, applying for a role, or expressing interest in a product or service does not create an order, reservation, customer relationship, employment relationship, or obligation for either party. Any commercial commitment must be set out in a separate written agreement signed by authorized representatives of the parties.

3. Intellectual Property

The Site and its contents, including text, graphics, images, videos, designs, trademarks, logos, software, and other materials made available through the Site (collectively, "Site Content"), are owned by Normal or our licensors and are protected by intellectual property and other laws.

Normal and its associated names, trademarks, service marks, and logos are proprietary to Normal. You may not use them in a manner that suggests sponsorship, endorsement, or affiliation without our prior written permission.

Certain papers, code, datasets, documentation, or other materials may be made available under a separate license. That separate license controls your use of those materials. Nothing in these Terms limits rights available to you under applicable law, including lawful quotation, commentary, news reporting, or other permitted use.

4. Permitted Use

Subject to these Terms, Normal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful personal, informational, journalistic, academic, research, internal business, and evaluation purposes.

You may link to publicly available pages on the Site and quote limited portions of Site Content for lawful commentary, news reporting, research, or internal use, provided that you do not misrepresent the content or imply that Normal sponsors or endorses you.

Except as expressly permitted by these Terms, a separate license, or applicable law, you may not:

  • Reproduce, republish, distribute, sell, license, or commercially exploit a substantial portion of the Site or Site Content;
  • Modify Site Content or create derivative works from it;
  • Use Normal's trademarks, branding, or logos without prior written permission;
  • Remove or alter copyright, trademark, or other proprietary notices;
  • Frame, mirror, or reproduce the Site in a way that misrepresents its source or affiliation;
  • Reverse engineer, decompile, or attempt to derive source code from Site software, except where applicable law does not permit that restriction; or
  • Use the Site or Site Content in a manner that infringes or misappropriates the rights of Normal or another person.

5. Prohibited Conduct

You may not:

  • Use the Site for an unlawful, fraudulent, deceptive, or abusive purpose;
  • Impersonate another person or entity or misrepresent your identity or affiliation;
  • Upload, transmit, or introduce malware, malicious code, or other harmful material;
  • Attempt to gain unauthorized access to the Site, accounts, networks, systems, or data;
  • Interfere with the operation, availability, performance, or security of the Site;
  • Circumvent access controls, rate limits, robots instructions, or other technical protections;
  • Conduct vulnerability testing or security research against the Site without prior written authorization;
  • Use automated means to access, scrape, extract, or harvest Site Content in a manner that creates an unreasonable load, circumvents technical controls, or violates these Terms;
  • Collect personal information about other people through the Site without authorization; or
  • Encourage or assist another person in doing any of the foregoing.

The restriction on automated access does not prohibit ordinary use of a web browser or accessibility tool, or search-engine indexing that complies with our robots instructions and does not interfere with the Site.

6. Third-Party Links and Platforms

The Site may link to or integrate websites, platforms, forms, scheduling tools, recruiting services, social-media services, or other resources operated by third parties.

When a provider processes personal information on Normal's behalf, Normal's processing is described in our Privacy Policy or other applicable privacy notice. When a third party processes personal information for its own purposes, its own terms and privacy notice apply.

Normal does not control and does not necessarily endorse independent third-party services or content. To the maximum extent permitted by law, Normal is not responsible for the availability, security, content, privacy practices, or operation of independent third-party services, or for losses arising from your use of them.

7. Communications, Submissions, and Feedback

If you submit content or information through the Site or through a third-party form presented on Normal's behalf, you represent that you have the right to provide it and that doing so does not violate applicable law or another person's rights.

Do not submit confidential, proprietary, export-controlled, or other sensitive business information through a general website form unless Normal has requested the information and agreed in writing to receive it on a confidential basis.

"Feedback" means voluntary suggestions or ideas that you clearly provide as feedback about the Site or Normal's products or services. Feedback does not include applicant materials, résumés, business or partnership proposals, customer information, personal information, confidential or proprietary information, or materials governed by a nondisclosure agreement or other written agreement.

If you provide Feedback, you grant Normal a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, distribute, display, perform, and commercialize that Feedback without attribution or compensation. You represent that you have the rights needed to grant this license. Normal is not required to use or respond to Feedback.

8. Forward-Looking Statements and No Reliance

The Site may contain statements about anticipated products, technical capabilities, performance, development plans, roadmaps, timelines, availability, market opportunities, or other future matters. These statements reflect current expectations and assumptions, involve risks and uncertainties, and may change without notice. Actual results, performance, availability, and timing may differ materially.

Forward-looking statements are not promises, guarantees, offers, or binding commitments. Except as required by law, Normal undertakes no obligation to update them.

Site Content is provided for general informational purposes. It is not legal, financial, investment, engineering, safety, or other professional advice and should not be the sole basis for a purchasing, investment, technical, or other material decision. Any binding representation, warranty, service level, specification, delivery date, or commitment must be contained in a separate written agreement signed by Normal.

9. Privacy

Our Privacy Policy explains how Normal collects, uses, discloses, and protects personal information in connection with the Site and related interactions.

Personal information processed in connection with recruiting and potential employment is covered by our separate Applicant Privacy Notice.

By using the Site, you acknowledge that Normal will process personal information as described in the applicable privacy notice. This acknowledgment is not consent. Where we rely on consent, we will request it separately.

10. Export Controls and Sanctions

You may not access or use the Site in violation of applicable export-control, import-control, or economic-sanctions laws. Normal may restrict access to the Site or particular content where we reasonably believe restriction is required by applicable law.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." NORMAL AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NORMAL DOES NOT WARRANT THAT THE SITE OR SITE CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, SECURE, UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. YOUR USE OF THE SITE IS AT YOUR OWN RISK.

Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, the disclaimers apply only to the extent permitted by law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORMAL AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE, SITE CONTENT, OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF NORMAL AND THE OTHER NORMAL PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, SITE CONTENT, OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID SPECIFICALLY TO ACCESS THE SITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply even if a remedy fails of its essential purpose. Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, gross negligence or willful misconduct, death or personal injury caused by negligence where that liability cannot be limited, or any other liability or right that applicable law does not permit the parties to exclude or limit.

13. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Normal and its affiliates, officers, directors, employees, and agents from third-party claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising from:

  • Your intentional unlawful use of the Site;
  • Your material violation of these Terms; or
  • A claim that content you submit through the Site infringes or misappropriates another person's rights.

Your obligations under this section do not apply to the extent a claim results from Normal's negligence, willful misconduct, or violation of law. Normal may assume control of the defense of a covered claim, and you agree to provide reasonable cooperation. You may not settle a covered claim in a manner that imposes liability, an admission, or a non-monetary obligation on Normal without Normal's prior written consent.

14. Suspension and Termination

Normal may restrict, suspend, or terminate your access to all or part of the Site if we reasonably believe you have violated these Terms, created a security risk, exposed Normal or another person to potential liability, or if restriction is required by law.

When your right to use the Site ends, the license granted under Section 4 ends. Provisions that by their nature should survive will remain in effect, including the provisions concerning intellectual property, Feedback, disclaimers, limitation of liability, indemnification, governing law, and general terms.

15. Governing Law and Courts

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. This choice of law does not deprive a consumer of mandatory protections provided by the law that would otherwise apply in the consumer's country or state of residence.

Except where mandatory law permits or requires proceedings in another forum, you and Normal agree that any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state courts located in New York County, New York, or the United States District Court for the Southern District of New York. You and Normal consent to the personal jurisdiction and venue of those courts.

If you are a consumer, you may bring proceedings in the courts of your place of residence to the extent that right is provided by applicable law and cannot be waived.

16. Changes to These Terms

Normal may update these Terms from time to time. Updated Terms will apply prospectively from the date they are posted unless a later effective date is stated. We will revise the "Last updated" date and provide additional notice of material changes where appropriate or required by law.

Your use of the Site after updated Terms take effect is subject to the updated Terms. If you do not agree to an update, you must stop using the Site.

17. General Terms

These Terms constitute the entire agreement between you and Normal concerning access to and use of the Site and supersede prior website terms concerning the same subject matter. They do not amend or replace any separate written agreement between you and Normal.

If any provision of these Terms is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in effect.

Normal's failure to enforce a provision is not a waiver of its right to do so later. A waiver is effective only if it is in writing and signed by an authorized representative of Normal.

These Terms do not create a partnership, joint venture, agency, employment, fiduciary, or franchise relationship between you and Normal. There are no third-party beneficiaries to these Terms.
